These Terms are the agreement between you ("you", "the user") and the service provider ("AI-Pay", "we", "us") about the AI-Pay service. Before using account services, you must expressly accept the effective version on the terms confirmation screen; if you do not agree, do not use the service. AI-Pay provides: an account with an AI credit wallet, and a metering gateway that lets third-party applications you have authorized ("Apps") call AI models using your credits, within the spending limits you set, with every unit of usage settled from your wallet in real time.

This update explains invitation-only Beta eligibility, testing risks and the acknowledgement required before use. It does not change pricing settings, reprice settled transactions or alter SDK/CLI licenses already granted.

Definitions

  • Credits: the prepaid balance in your AI-Pay wallet, kept in µUSD ($1 = 1,000,000 µUSD). Credits can only be used to pay for AI usage and App service fees inside this service.
  • AI credit authorization: the permission you grant to a specific App, including the per-request, daily and monthly spending limits you set.
  • Catalog pricing: AI-Pay's price for AI usage, see Section 5.

2. Invitation-only Beta

AI-Pay is currently an invitation-only Beta version. This means:

  • only invited users may test the service; public registration is not open. Invitations are issued after a personal conversation confirming that the recipient understands the Beta limitations and data risks;
  • features may fail, service may be interrupted, and data may be lost. Avoid uploading sensitive or important data and keep your own backups. You must understand and accept these testing limitations before using the service;
  • available features depend on your environment and the service screens; production does not accept top-ups at the moment;
  • payments are processed by Stripe (cards) and PayPal. Test environments (used for development and verification) run in the processors' test/sandbox modes: no real charge is made and wallet credits are test-only accounting units. Live payment mode, when enabled, makes real charges. Before paying, check the displayed mode, credits, fees and total. Test credits cannot be redeemed and do not represent a real payment or developer earnings;
  • features, prices, the interface and these Terms may change, and the service comes with no availability commitment (no SLA);
  • we may interrupt the service, reset test data or disable features for operational or debugging reasons.

This risk notice does not remove AI-Pay's data security and privacy obligations. See the Privacy Policy for data handling and your rights.

If the scope, prices or payment methods of the Beta change materially, we will notify you prominently before the change and update these Terms.

3. Accounts

  • You must be old enough to enter into a binding contract where you live and meet the selected model's age and regional restrictions. You must comply with applicable sanctions and export controls. If acting for a company or other organization, you must have authority to bind it.
  • Invited users can create an account by signing in as instructed in their invitation. Administrator-created email/password accounts may also sign in, using the methods available on the service screen. You must keep your sign-in method and API credentials safe and are responsible for use you authorize. Notify us promptly of unauthorized use. Responsibility depends on the circumstances and applicable law; activity under your account does not by itself release AI-Pay from its own obligations.
  • One account per person; accounts may not be transferred, sold or shared.
  • We may suspend or terminate an account if you breach these Terms, or in cases of fraud, abuse or legal requirement.

4. Credits and the wallet

  • Credits are a prepaid balance for this service and bear no interest. The service does not offer transfers between users or general cash withdrawals. This does not restrict refunds under Sections 11 and 12 or repayment rights provided by law.
  • Credits can only be used to pay for AI usage and App service fees inside this service.
  • When you top up, the total you pay consists of three separately disclosed parts: the credit amount, the payment-processing fee, and applicable tax (if any). Only the credit amount enters your wallet; the processing fee and tax do not become credits and do not count toward any App's authorization limit.
  • Credits do not expire. If the account is terminated, unused credits are handled as described in Section 12.
  • If the available balance cannot cover the amount reserved for a request, the request is rejected. The service currently offers no automatic top-up or credit overdraft. A reservation is not a final charge; unused reserved credits are released after settlement.

5. How fees are calculated

5.1 AI usage (catalog pricing)

Each model's retail unit prices and pricing policy are published in the catalog at GET /v1/models. The authorization screen discloses the applicable platform rates and consent limits. The catalog currently supports two pricing policies:

  • Reference-price markup: retail unit prices use approved, timestamped upstream reference unit prices plus the model's published markup_bps rate (for example, 1200 means a 12% markup). The reference is the cost reference ceiling frozen at review, not a guarantee that it equals or exceeds the actual upstream cost of that request. Retail unit prices are rounded up at the published pricing precision.
  • Legacy retail pricing: some models use a policy that allocates fee and margin components within their retail unit prices. Those components are included in the published price; another 12% is not added. The authorization screen discloses the two policies separately.
  • The price is locked at the moment the request is accepted; later price changes only affect new requests.
  • Usage charges use the frozen retail unit prices and actual usage, such as input and output token counts, and settle in integer µUSD under that pricing policy. Unit-price conversion and usage settlement have separate rounding steps. Receipts allow you to reconcile charges. New billable requests require renewed consent if platform rates exceed your accepted limits or introduce a pricing policy you have not accepted.

5.2 App service fees

Not yet available: until payouts open, AI-Pay does not accept nonzero App service-fee settings and will not charge you any App service fee through the platform. The spending authorization screen indicates that no App service fee is charged through AI-Pay for this authorization. A future launch requires notice, developer payment arrangements and user consent to the fees.

If launched, App service fees may comprise a fixed fee per request and/or a percentage of catalog usage charges, disclosed separately from AI-Pay catalog charges. Attribution, refund reversals and payout conditions will be governed by the developer agreement effective at that time. This does not prevent developers from selling their Apps or subscriptions themselves; see Section 7.

5.3 Tax

The system currently supports handling tax at top-up and does not add tax at usage settlement. This describes current processing and is not a tax-exemption assurance for any jurisdiction. Applicable tax and the total are displayed before payment. Stripe tax calculation depends on enabled tax settings; the current PayPal integration does not calculate tax at checkout. Tax points, registration and invoicing obligations depend on applicable law. Necessary changes are notified under Section 10.

6. AI credit authorizations (for third-party Apps)

  • You may authorize an App to use your credits and set your own per-request, daily and monthly limits. Requests above a limit are always rejected.
  • You may pause or revoke an authorization at any time, with immediate effect; in-flight requests settle against the credits already held.
  • An authorization is an act between you and that App. AI-Pay provides the limits, disclosures and revocation mechanism, but is not the provider of that App and the App is responsible for its functionality, quality and content handling. This does not exclude AI-Pay's legal obligations for its own billing, authorization mechanisms or data processing.
  • AI-Pay has not verified the publisher identity of most Apps. Judge for yourself whether an App is trustworthy before authorizing it; the authorization screen shows the information we have and a "not verified" notice.

7. Developer terms

If you register an App and use AI-Pay as its sign-in and billing basis, the following applies in addition to the Terms above:

  • Commercial Apps are permitted: you may integrate AI-Pay into closed-source, paid, subscription-supported or advertising-supported Apps and charge your customers, subject to these Terms and the selected models' applicable terms. Clearly distinguish your App fees from AI-Pay credit charges, and do not describe your own charges as collected or guaranteed by AI-Pay.
  • Copying, modifying and distributing the SDK or CLI is governed by the license notices or package license metadata accompanying each version. These Terms govern API and platform access; they do not replace existing code licenses or grant rights to private backend code or general trademark use.
  • You must disclose your fees honestly and must not circumvent AI-Pay's authorization limits, receipts or revocation mechanism.
  • You must not request users' Google passwords, AI-Pay session cookies or other sign-in credentials not issued to your App. You may securely store access and refresh tokens lawfully issued to your App through authorization, solely for the approved purpose and subject to revocation and expiry. Do not request scopes beyond what you need.
  • You only receive the user's pseudonymous identifier that is specific to your App, plus the data the user has consented to share; you do not receive the user's identity in other Apps or their usage in other Apps.
  • You must provide applicable terms, a privacy policy and customer support for your App, explain data uses and recipients, and handle refunds, taxes and other legal obligations for your own charges. You must inform your users of applicable model restrictions and require compliance; do not represent that every model allows unrestricted commercial use.
  • App service fees and payouts are not yet available: while disabled, nonzero App service-fee settings are not accepted, new requests incur no App service fee, and payout-account setup and payout requests are unavailable. Historical or test attribution records may remain visible; test records do not represent real earnings. Rights relating to any historical real charges depend on the agreement then in force and applicable law; this update does not extinguish them.
  • We may suspend an App or revoke authorizations where we reasonably believe it breaches this section, harms users, involves fraud or requires action by law. Any withholding, offset or reversal must have a basis in the applicable agreement or law; suspension does not automatically forfeit funds.

8. Your content and model providers

  • You retain your existing rights in content you submit (prompts). AI-Pay does not claim ownership of your inputs or model responses (together, "your content") merely by processing a request. Copyright protection and permitted uses of responses depend on applicable law, upstream terms and third-party rights; exclusivity and non-infringement are not guaranteed. You authorize us to process and transmit content as needed to provide the requested service, as described in the Privacy Policy.
  • To fulfil a request, your content is transmitted to our upstream routing service and to the provider of the selected model. Providers have different data-retention and training policies; AI-Pay makes no zero-retention commitment.
  • AI-Pay does not use your content to train models, does not sell it and does not use it for advertising.
  • AI-Pay processes plaintext content in memory to handle and forward requests. For response replay, it also processes the Replay-Key you supply and stores an encrypted response, without writing the key to capsule storage. The default replay period is 15 minutes; replay stops at expiry and a background job removes the ciphertext, so physical deletion may occur later. Ordinary usage billing records do not store full prompt or response bodies, but diagnostic excerpts from upstream errors may contain returned content fragments.   • You must hold the rights needed for the content you submit and ensure your use is lawful. AI output can be wrong; do not rely on it for medical, legal, financial or other high-stakes decisions without verifying it yourself.

9. Prohibited conduct

When using AI-Pay you must not:

  • engage in unlawful activity, or create or distribute child sexual abuse material, harassment or threats against others, or malware;
  • attempt to circumvent spending limits, billing, rate limits, authorizations or security mechanisms;
  • perform unauthorized penetration testing, load testing or automated scraping of the service;
  • resell or sublease AI-Pay credits, or otherwise circulate credits as a means of payment;
  • violate the selected model's applicable terms or bypass regional, age or use restrictions. See Section 5 of the OpenRouter Terms and the model terms linked there. Terms may differ by model and routing provider; check before selecting a model and contact us if unclear.

10. Availability and changes

  • The service is provided "as is"; there is no availability commitment during the pilot.
  • The model catalog changes: a model may stop being sold at any time because it was withdrawn upstream, a price change was not approved, its price expired, or for risk control; affected requests then return an explicit error. We do not guarantee that any particular model stays available.
  • We may modify these Terms. Material changes will be notified reasonably before taking effect, with consent obtained where required by law. A new effective version requires renewed acceptance on the terms confirmation screen; platform and App fee consent limits are handled separately under Sections 5 and 6. If you do not accept a change, you may stop using the service and request handling of unused credits under Sections 11 and 12. Settled charges are not repriced retroactively.

11. Refunds and disputes

  • Correctly settled AI usage is generally treated as consumed. This does not exclude correction of erroneous or unauthorized charges, remedies for service not supplied as agreed, or statutory cancellation, refund or other consumer rights.
  • There is no automatic refund process during the pilot. Contact the email in Section 1 with your account, transaction or request identifier, reason and requested amount; do not send passwords, full card numbers or API keys. We manually review the payment status, used amount, applicable agreement and law, and explain the outcome and handling. Legally required refunds follow the applicable statutory deadline.
  • If you believe a charge is wrong, we recommend contacting us within 30 days after discovering it, with the receipt's request_id, to assist investigation. This recommendation does not shorten statutory claim periods or require you to waive disputes with a payment provider or regulator.
  • The payment-processing fee (Section 4) follows the quote policy disclosed before payment and may differ from the processor's actual cost to us. Refunds of credits, processing fees and tax are assessed under applicable law, valid agreements and the transaction circumstances. A processor retaining its fee from us does not automatically remove your refund rights.

12. Termination

  • You may stop using the service at any time and contact us under Section 1 to request account closure and exercise data rights. The Privacy Policy explains the scope of deletion and lawful retention exceptions.
  • We may terminate your account if you breach these Terms or where the law requires it; serious breaches (fraud, illegal content) may lead to immediate termination.
  • No new authorized usage may begin after account termination; requests already dispatched settle within the original consent limits. Unused credits are handled under Section 11 and are not automatically forfeited for a breach or termination. Any lawful temporary hold or offset must have an identified basis and amount, which we explain unless disclosure is prohibited by law.
  • Transaction and usage records may be retained after termination for accounting, disputes or other legally necessary purposes. See the Privacy Policy for retention and handling of these records.

13. Disclaimers and limitation of liability

To the fullest extent permitted by applicable law:

  • AI-Pay gives no express or implied warranty of merchantability, fitness for a particular purpose or uninterrupted operation;
  • AI-Pay is not liable for indirect, incidental or consequential damages, or for loss of profits or data;
  • If you actually paid AI-Pay in the 12 months before the claim arose, AI-Pay's total liability to you is capped at the amount paid during that period. If you made no payment during that period, liability is determined under applicable law, without a monetary cap specified by this clause;
  • these limits do not exclude liability that cannot be excluded by law (for example intent or gross negligence, or personal injury), mandatory consumer remedies, or legally required repayment of unused credits. Mandatory rules applicable to the user determine their scope.

14. Governing law and miscellaneous

  • These Terms and disputes arising from the service are subject to applicable law and the courts with jurisdiction under that law. Mandatory consumer protections and jurisdiction rights available to you where you live remain unaffected.
  • If any provision is invalid, the remaining provisions stay in force.
  • Our failure to exercise a right is not a waiver of it.
  • You may not assign your rights under these Terms without our consent; any assignment by us in a corporate reorganization or asset transfer must comply with applicable law, preserve your non-waivable rights and be notified where required by law or agreement.
  • Read these Terms together with the Privacy Policy and the payment quotes and authorization documents you confirm. Individually agreed terms and mandatory law are not excluded by this clause; SDK and CLI version licenses apply separately under Section 7. These Terms do not make all transactions between you and a third-party App part of AI-Pay's service.
